Subscription Agreement

1. Overview

This Subscription Agreement supplements the Terms of Service between you (“Customer”) and Great Marketing AI Inc., doing business as Lead Distro AI, and governs the commercial terms of your subscription to the Service. Capitalized terms not defined here have the meaning given in the Terms of Service.

2. Plans and Pricing

Plans, included usage limits (such as monthly lead caps), and pricing are described on our pricing page. The plan you select at checkout, and any plan changes you make subsequently, are incorporated into this Agreement by reference.

3. Free Trial

  • New customers receive a free trial period (typically 14 days) at signup. The exact length is shown at checkout.
  • A valid payment method is required to start a free trial. We will not charge it until the trial ends.
  • You may cancel at any time during the trial without being charged. Cancellation takes effect immediately and your access ends at the close of the trial period.
  • If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged for the first billing period.
  • We may shorten or extend the trial period, or limit trial access to certain features, at our discretion.

4. Billing and Payment

  • Subscription fees are billed in advance on a monthly or annual cycle, depending on the plan you select.
  • Payment is processed through Stripe. By providing a payment method, you authorize us to charge it for all applicable fees, including subscription fees, overage fees, taxes, and any add-on services.
  • All fees are stated in U.S. dollars (USD) and are exclusive of taxes. You are responsible for all applicable sales, use, and similar taxes.
  • Subscription fees are non-refundable, including for partial billing periods, unused capacity, or accounts terminated for cause. Refunds are only issued where required by law or expressly stated otherwise.
  • If a payment fails, we will retry the charge per Stripe's standard dunning schedule. If payment is not recovered, your account will be moved to a past-due state and write access may be suspended until payment is resolved.

5. Usage Limits and Overages

Each plan includes a monthly lead allowance and other usage limits. If you exceed your allowance, the following applies:

  • Additional leads beyond your monthly allowance may be billed at the per-lead overage rate disclosed on the pricing page
  • You will receive in-app and email notifications as you approach your limits
  • We may, at our discretion, throttle or temporarily suspend high-volume features if usage exceeds reasonable bounds for your plan
  • Add-on services (AI calling, phone validation, premium integrations) are billed separately as disclosed at activation

6. Plan Changes

  • Upgrades: take effect immediately. We will charge a prorated amount for the remainder of the current billing period.
  • Downgrades: take effect at the start of the next billing period. You retain access to your current plan's features until then.
  • Pricing changes: we may change subscription pricing on 30 days' written notice. Changes apply to your next billing cycle after the notice period.

7. Cancellation

  • You may cancel your subscription at any time from the Billing settings page or by emailing support@leaddistro.ai.
  • Cancellation takes effect at the end of your current billing period. You retain access until then.
  • You will not receive a refund for the unused portion of your billing period, except where required by law.
  • After cancellation, you have a 30-day grace period to export your data. After that, we may delete your account data per our Data Retention Policy.

8. Service Level (Uptime)

We target a monthly uptime of 99.5% for the production application, measured as the percentage of minutes in a calendar month during which the application is reachable and able to respond to authenticated requests. Scheduled maintenance, force majeure, and downtime caused by Customer-side configuration or third-party services we depend on (Supabase, Clerk, Stripe, Vapi, Meta, Google) are excluded from this calculation.

This is a target, not a contractual SLA. Customers requiring a contractual uptime guarantee with service credits should contact us for a custom enterprise agreement.

9. Data Export

You may export your lead data, campaign configurations, and reports at any time during your subscription via the in-app export tools or via the public API. We will provide a one-time bulk export on request to support@leaddistro.ai at no additional charge during the subscription term and the 30-day post-termination grace period.

10. Suspension and Termination

We may suspend or terminate your subscription, with or without notice, if:

  • You fail to pay any amount when due
  • You materially breach the Terms of Service, this Agreement, or the Acceptable Use Policy
  • Your use of the Service poses a security, legal, or reputational risk to us or other customers
  • We are required to do so by law or court order

If we terminate for cause, no refund will be issued. If we terminate without cause, we will refund any prepaid fees for the unused portion of the billing period.
